I’m lucky to have been able to work with some really amazing clients throughout the years and i’ve found that the best product always come from honest communication and mutual trust. Regardless, every project needs a little structure and that’s why included these terms and conditions. A lawyer helped draft them (of course), but I’ve kept everything as clear and easy to understand as possible.
Please take a moment to read through them. They explain what I charge for, why I don’t release certain copyright files, and when additional fees might apply, like for late payments or extra work.

TERMS AND CONDITIONS
Terms & Conditions
These Terms and Conditions apply to all services and deliverables provided by Joseph Padilla (“we,” “us,” or “our”). By using our services, the client (“you” or “the customer”) agrees to these terms. All disputes are governed by the laws of the State of California. All work is carried out with the understanding that you have read and accepted these Terms and Conditions. Copyright for all creative work—including designs, images, text, concepts, and digital files—remains the property of Joseph Padilla, unless explicitly released in writing after full payment is received. If multiple design options are presented and you select one, only that selected design fulfills the project requirements. All other concepts remain the property of Joseph Padilla unless otherwise agreed in writing.
Project Acceptance
You will receive a written estimate or quote via email at contact@josephpadilla.com.
Acceptance may be provided by:
Signing and returning the estimate
Sending a purchase order
Sending written acceptance via email at contact@josephpadilla.com
These Terms and Conditions take precedence over any terms on your purchase order.
Design Fees
All fees are outlined in the written estimate or quote. A non-refundable 50% deposit is due upon acceptance. If you subscribe to any recurring services, you authorize us to charge the agreed payment method according to your billing cycle.
Source Files
We will supply proofs and standard production-ready files as required. Source files (such as INDD, PSD, AI, PNG, or raw working files) are not included and require a separate buy-out or licensing fee.
Additional Services
Any requests beyond the agreed scope will be quoted separately and billed in full upon acceptance.
Payment Terms
Before final delivery, you will receive a Proof/Approval Notice and final invoice. The remaining balance becomes due immediately. Late payments (30+ days after invoice date) incur a 5% late fee. Accepted payment methods include bank transfer, check, credit card, or debit card. Returned checks incur a $50 fee and may place the account in default. No work will be released until full payment has cleared.
Late Fees & Default
Invoices unpaid after 10 days will accrue 5% monthly interest from the invoice date. Accounts unpaid after 30 days are considered in default. In such cases, Joseph Padilla may withhold work or materials until all outstanding balances are resolved. You agree to pay all reasonable legal fees, administrative fees, and collection costs incurred by Joseph Padilla in recovering outstanding payments.
Copyrights & Usage Rights
By supplying text, images, and other assets, you confirm that you own or have permission to use them. All creative work produced by Joseph Padilla remains our property unless stated otherwise in writing. Your usage rights apply only to the specific project described in your scope. Any reuse, redistribution, or repurposing requires written permission and may incur additional fees. You agree to indemnify Joseph Padilla against any claims arising from materials you provide without proper permissions.
Revisions & Alterations
Changes outside the original scope—or after final approval—will be billed separately.
We are not responsible for alterations made by third parties.
Licensing
Any design, artwork, copywriting, or creative asset created by Joseph Padilla or our subcontractors is licensed for one-time use unless explicitly expanded in writing. Your maximum remedy for any claim against Joseph Padilla is limited to the total fees paid.
Data & File Requirements
Text must be supplied digitally (.TXT, .DOCX, etc.) via email at contact@josephpadilla.com or another approved method.
Images must be provided at suitable resolution. Additional fees may apply for scanning, editing, reshooting, or color correction.
Project Timelines
Any timeline we provide is an estimate. We are not responsible for delays caused by circumstances beyond our control.
Project Completion
A project is considered complete once written approval is received via email at contact@josephpadilla.com.
If you do not respond within 30 days of receiving the final proof or communication, the project will be considered complete. Any further requests will be treated as a new project and billed accordingly.
Design Credits
You agree to allow Joseph Padilla to include a small design credit on printed or digital materials where appropriate. You also grant permission for Joseph Padilla to showcase completed work in portfolios, presentations, and promotional materials.
Rights of Refusal
We reserve the right to decline or remove any content we deem offensive, illegal, or inappropriate. If such content was provided or approved in good faith but later found unacceptable, you agree to allow its removal without penalty.
Retainer Cancellation
To cancel a recurring monthly service, you must provide written notice via email at contact@josephpadilla.com at least 30 business days prior to the next billing cycle. Failure to provide timely notice will result in the next billing charge.
Order Cancellation
Cancellation must be submitted in writing and received by Joseph Padilla within 14 days of initial notice. All completed work beyond the non-refundable deposit will be invoiced. If written confirmation is not received within 14 days, the entire project fee becomes due.
Non-Solicitation
You agree not to solicit or hire any employee, contractor, or service provider of Joseph Padilla or its affiliates, directly or indirectly.
Disclaimer
Joseph Padilla makes no express or implied warranties regarding any services or deliverables.
We are not responsible for:
Production errors
Printing delays
Vendor issues
Data loss
Consequential or incidental damages
Any claim against us is limited strictly to the amount you paid for the specific service. We may use subcontractors, vendors, and suppliers. Their terms and limitations apply to any work they contribute.
General
These Terms and Conditions supersede all prior versions.
Joseph Padilla may update rates or terms at any time without prior notice.
Acceptance
By placing an order—verbally, in writing, or via email at contact@josephpadilla.com—you acknowledge and accept these Terms and Conditions in full.
